1. ACCEPTANCE OF TERMS

Welcome to Epiqon.co (the "Platform", "Service", "we", "us", or "our"), the platform operated by Nobaka Tech L.L.C-FZ (a company registered at Meydan Grandstand, SHARED DESK 6th floor, Nad Al Sheba, Dubai, United Arab Emirates). By accessing or using our online learning platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms constitute a legally binding agreement between you ("User", "you", or "your") and Epiqon regarding your use of the Platform. By completing the initial questionnaire after viewing our advertisement, creating an account, or accessing any content, you acknowledge that you have read, understood, and agreed to these Terms, along with our Privacy Policy and Cookie Policy.

2. SERVICE DESCRIPTION

Epiqon.co is an online educational platform that provides subscription-based access to learning content and courses. Our Service includes:

• Access to educational courses and learning materials through a user account

• Personalized content recommendations based on your preferences and activity

• Progress tracking and course completion monitoring

• Customer support services via email at support@epiqon.co

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

3. ACCOUNT REGISTRATION AND ACCESS

3.1 Account Creation

When you purchase a subscription to our Platform, an account is automatically created for you. You will be automatically logged into the Platform following your purchase. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use our Service. By using the Platform, you represent and warrant that you meet these eligibility requirements.

3.3 Account Security

You agree to:

• Provide accurate, current, and complete information during registration

• Maintain and promptly update your account information

• Keep your password secure and confidential

• Notify us immediately of any unauthorized access or security breach

• Accept responsibility for all activities conducted through your account

4. SUBSCRIPTION AND PAYMENT

4.1 Subscription Plans

Access to the Platform requires an active paid subscription. Subscription details, including pricing, duration, and included features, are presented during the purchase process. Prices are subject to change, but any changes will not affect your current subscription period.

4.2 Payment Processing

All payments are processed securely through Stripe, our third-party payment processor. By providing payment information, you authorize us to charge the applicable subscription fees to your designated payment method. You represent and warrant that you have the legal right to use any payment method provided.

4.3 Automatic Renewal

Unless you cancel your subscription before the end of the current subscription period, your subscription will automatically renew for an additional period of the same duration at the then-current subscription rate. You will be charged at the beginning of each renewal period.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting support@epiqon.co. Cancellation will be effective at the end of your current billing period. We do not provide refunds for partial subscription periods, except as required by applicable law or as otherwise specified in these Terms.

5. INTELLECTUAL PROPERTY RIGHTS

5.1 Ownership of Content

All content available on the Platform, including but not limited to text, graphics, logos, images, audio clips, video, data compilations, course materials, and software, is the property of Epiqon or its content suppliers and is protected by international copyright, trademark, and other intellectual property laws. This includes content created by us or generated using artificial intelligence technology.

5.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and its content solely for your personal, non-commercial educational purposes during your active subscription period. This license does not include any right to:

• Reproduce, distribute, modify, create derivative works, publicly display, or publicly perform any content from the Platform

• Use any content for commercial purposes or financial gain

• Download, copy, or store content except as explicitly permitted by the Platform

• Share your account access or subscription with others

5.3 Restrictions

You may not use any content from the Platform for purposes outside of your personal learning experience. Unauthorized use, reproduction, or redistribution of Platform content is strictly prohibited and may result in immediate termination of your account and legal action.

6. USER CONDUCT

You agree not to:

• Violate any applicable laws or regulations

• Use the Platform for any unlawful, harmful, or fraudulent purpose

• Attempt to gain unauthorized access to any portion of the Platform or any other systems or networks

• Interfere with or disrupt the Platform or servers or networks connected to the Platform

• Use any robot, spider, scraper, or other automated means to access the Platform

• Attempt to decipher, decompile, disassemble, or reverse engineer any software comprising the Platform

• Remove, circumvent, disable, damage, or otherwise interfere with security-related features

• Share account credentials or allow others to access the Platform using your account

7. THIRD-PARTY SERVICES

Our Platform is powered by LearnWorlds, a third-party learning management system that acts as a data processor under GDPR. We also utilize Stripe for payment processing. These third-party services operate under their own terms of service and privacy policies. While we carefully select our service providers, we are not responsible for the practices or content of these third parties.

The Platform may contain links to external websites or resources. We do not endorse and are not responsible for the content, products, or services available from such third-party sites. Your use of third-party websites is at your own risk and subject to the terms and conditions of those websites.

8. DATA PROTECTION AND PRIVACY

We take your privacy seriously. Our collection, use, and protection of your personal data are governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our data practices as described in the Privacy Policy.

We collect various types of information, including:

• Information you provide during the initial questionnaire (age, gender, country of origin, preferences)

• Account information and activity within courses

• Technical data collected through cookies and similar technologies

• Payment information processed by our payment processor, Stripe

All user data is stored on secure servers maintained by LearnWorlds, located in the European Union (Ireland, Netherlands) and the United States, in compliance with the UAE Personal Data Protection Law (Federal Decree-Law No. 45 of 2021), the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and Standard Contractual Clauses for international data transfers.

9. DISCLAIMERS AND LIMITATIONS OF LIABILITY

9.1 Service Provided "As Is"

THE PLATFORM AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

9.2 Educational Content Disclaimer

While we strive to provide high-quality educational content, we make no representations or warranties about the accuracy, completeness, or suitability of the information and materials contained on the Platform for any particular purpose. Any reliance you place on such information is strictly at your own risk.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EPIQON, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Epiqon, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Platform

• Your violation of these Terms

• Your violation of any rights of another party

• Your violation of any applicable laws or regulations

11. TERMINATION

11.1 Termination by You

You may terminate your account at any time by canceling your subscription through your account settings or by contacting us at support@epiqon.co. Upon cancellation, your access to the Platform will continue until the end of your current billing period.

11.2 Termination by Us

We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms

• Fraudulent, abusive, or illegal activity

• Extended periods of inactivity

• Requests by law enforcement or government agencies

11.3 Effect of Termination

Upon termination, your right to access and use the Platform will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity obligations, and limitations of liability.

12. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Platform and cancel your subscription.

13. GOVERNING LAW AND DISPUTE RESOLUTION

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the Emirate of Dubai, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Platform shall first be attempted to be resolved through good faith negotiations. If the parties cannot resolve the dispute through negotiation, the dispute shall be resolved through binding arbitration administered by the Dubai International Arbitration Centre (DIAC) in accordance with the DIAC Arbitration Rules, except where prohibited by law. The seat of arbitration shall be Dubai, United Arab Emirates, and the language of arbitration shall be English.

13.3 Class Action Waiver

Where permitted by law, you agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, consolidated action, or representative action. You expressly waive your right to participate in a class action lawsuit or class-wide arbitration.

14. GEOGRAPHIC RESTRICTIONS

The Platform is primarily intended for users in the United States, Canada, United Kingdom, Australia, and New Zealand. We make no representation that the Platform or its content is appropriate or available for use in other locations. Those who access the Platform from other locations do so at their own initiative and are responsible for compliance with local laws.

15. SEVERABILITY

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.

16. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Epiqon regarding the use of the Platform and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.
